By accessing our website, engaging our services, submitting inquiries through our contact forms, or otherwise interacting with BBB Life Limited in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using our website and services and must discontinue use immediately.

These Terms apply to all visitors, users, clients, and others who access or use our services. Supplemental terms and conditions or documents that may be posted on the website from time to time are hereby expressly incorporated herein by reference. We reserve the right, at our sole discretion, to make changes or modifications to these Terms at any time and for any reason.

Important: By engaging our computer systems design and related services, you enter into a professional relationship governed by these Terms and any additional service agreements or statements of work executed between the parties. In the event of any conflict between these Terms and a separately executed service agreement, the service agreement shall prevail.

2. Definitions

For the purposes of these Terms of Service, the following definitions apply:

  • Company: BBB Life Limited, its officers, directors, employees, agents, subsidiaries, affiliates, successors, and assigns.
  • Client: Any individual, organization, or entity that engages the services of BBB Life Limited, accesses the website, or enters into a service agreement with the Company.
  • Services: All computer systems design, network infrastructure, cloud integration, cybersecurity, data systems engineering, managed IT services, consulting, technical support, and any other professional services offered by BBB Life Limited, whether described on the website or agreed upon in a separate service agreement.
  • Website: The internet site located at https://www.bbblife.rest, including all subdomains, pages, content, and functionality accessible through this domain.
  • Content: All information, text, images, graphics, software, code, data, materials, and intellectual property made available on or through the website or services.
  • Deliverables: Any work product, systems, software, documentation, designs, architectures, reports, configurations, or other outputs produced by BBB Life Limited in the course of providing services to a client.
  • Confidential Information: Any non-public information, whether technical or business-related, disclosed by one party to the other in connection with the services, whether orally, in writing, or through electronic means.

3. Description of Services

BBB Life Limited provides professional services in the field of computer systems design and related services, specifically including but not limited to:

3.1 Computer Systems Architecture Design

Custom design of computer systems architecture including hardware specification, software stack selection, integration planning, scalability frameworks, and performance optimization strategies. Each engagement is scoped through a detailed statement of work defining deliverables, timelines, and success criteria.

3.2 Network Infrastructure Services

Design, implementation, and maintenance of local area networks (LAN), wide area networks (WAN), virtual private networks (VPN), cloud networking, and related infrastructure components. Includes network security configuration, monitoring, and optimization.

3.3 Cloud Integration Services

Assessment, planning, migration, and management of cloud-based infrastructure and platforms, including hybrid and multi-cloud strategies across major providers including Amazon Web Services, Microsoft Azure, and Google Cloud Platform.

3.4 Cybersecurity Services

Security assessment, penetration testing, vulnerability management, security architecture design, firewall configuration, intrusion detection and prevention, and ongoing security monitoring and incident response.

3.5 Data Systems Engineering

Database design and optimization, data pipeline development, analytics infrastructure, business intelligence systems, data warehousing, and related data engineering services.

3.6 Managed IT Services

Ongoing technical support, system administration, monitoring, maintenance, patch management, and help desk services provided under a service level agreement (SLA) tailored to client requirements.

4. Client Obligations and Responsibilities

To enable BBB Life Limited to effectively deliver services, the client agrees to the following obligations:

4.1 Cooperation and Access

The client shall provide reasonable cooperation, timely access to relevant personnel, systems, facilities, and information necessary for BBB Life Limited to perform the services. Failure to provide such access may result in project delays for which BBB Life Limited shall not be held responsible.

4.2 Accurate Information

The client represents and warrants that all information provided to BBB Life Limited, including technical specifications, business requirements, infrastructure details, and contact information, is accurate, complete, and not misleading. BBB Life Limited relies on the accuracy of this information in designing and delivering solutions.

4.3 Compliance with Laws

The client agrees to comply with all applicable local, national, and international laws and regulations in connection with their use of the services, including but not limited to data protection laws, export control regulations, and intellectual property laws.

4.4 Security Responsibilities

The client is responsible for maintaining the security of their own systems, credentials, and access controls, except to the extent that such security is explicitly covered under a managed services agreement with BBB Life Limited. The client shall promptly notify BBB Life Limited of any unauthorized access or security breach affecting systems that BBB Life Limited manages or has access to.

4.5 Third-Party Products

Where the client requires BBB Life Limited to integrate with or utilize third-party products, platforms, or services, the client is responsible for obtaining and maintaining valid licenses, subscriptions, and permissions for such third-party products, unless otherwise agreed in writing.

5. Fees, Payment, and Billing

5.1 Service Fees

Fees for services shall be as set forth in the applicable statement of work, service agreement, or proposal accepted by the client. Unless otherwise specified, all fees are quoted and payable in United States Dollars (USD).

5.2 Payment Terms

Unless otherwise agreed in writing, the following payment terms apply:

  • For project-based engagements: 50% of the total project fee is due upon execution of the service agreement, with the remaining balance due upon completion and delivery of agreed deliverables, or according to milestone-based payment schedules defined in the statement of work.
  • For ongoing managed services: Fees are billed monthly in advance, with payment due within fifteen days of invoice date.
  • For hourly or time-and-materials engagements: Fees are billed bi-weekly or monthly based on actual hours worked, with detailed timesheets provided upon request.

5.3 Late Payments

Any payment not received by the due date may be subject to a late payment charge of 1.5% per month, or the maximum rate permitted by applicable law, whichever is lower. BBB Life Limited reserves the right to suspend services if payment is more than 30 days past due, after providing written notice to the client.

5.4 Expenses

Unless otherwise stated in the service agreement, fees do not include out-of-pocket expenses such as travel, accommodation, software licenses, hardware procurement, or third-party service fees. Reimbursable expenses shall be pre-approved by the client in writing before being incurred.

5.5 Taxes

All fees are exclusive of applicable taxes, including but not limited to sales tax, value-added tax (VAT), goods and services tax (GST), and withholding taxes. The client is responsible for payment of all such taxes, except for taxes based on BBB Life Limiteds net income.

6. Intellectual Property Rights

6.1 Company IP

BBB Life Limited retains all right, title, and interest in and to all pre-existing intellectual property, tools, methodologies, frameworks, software libraries, templates, know-how, and processes used in the delivery of services. Nothing in these Terms transfers ownership of BBB Life Limiteds pre-existing intellectual property to the client.

6.2 Client IP

The client retains all right, title, and interest in and to all pre-existing intellectual property, data, materials, and confidential information provided to BBB Life Limited in connection with the services.

6.3 Deliverables and Work Product

Upon full payment of all fees due, BBB Life Limited assigns to the client all right, title, and interest in custom deliverables specifically created for the client under a service agreement. This assignment does not include BBB Life Limiteds pre-existing IP, which is licensed to the client on a perpetual, non-exclusive, non-transferable basis solely for use with the deliverables.

6.4 License to Use Deliverables

Subject to full payment, BBB Life Limited grants the client a worldwide, non-exclusive, non-transferable license to use the deliverables for their internal business purposes. The client shall not resell, sublicense, or distribute the deliverables to third parties without BBB Life Limiteds prior written consent.

6.5 Website Content

All content on the website, including text, graphics, logos, images, and software, is the property of BBB Life Limited or its content suppliers and is protected by international copyright, trademark, and other intellectual property laws. Unauthorized use, reproduction, or distribution of website content is strictly prohibited.

7. Confidentiality and Non-Disclosure

Both parties acknowledge that during the course of the engagement, each may have access to confidential information belonging to the other party. The following confidentiality obligations apply:

7.1 Definition of Confidential Information

Confidential Information includes all non-public information, whether written, oral, or electronic, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure. This includes, but is not limited to, trade secrets, business strategies, technical specifications, client lists, financial data, source code, system architectures, and security configurations.

7.2 Obligations

Each party agrees to:

  • Use Confidential Information solely for the purpose of performing obligations or exercising rights under these Terms and any applicable service agreement.
  • Not disclose Confidential Information to any third party without the disclosing partys prior written consent.
  • Protect Confidential Information using at least the same degree of care used to protect its own confidential information of a similar nature, and in no event less than reasonable care.
  • Limit access to Confidential Information to those employees, contractors, and agents who need such access for the permitted purpose and who are bound by confidentiality obligations at least as restrictive as those set forth herein.

7.3 Exclusions

Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was rightfully in the receiving partys possession without restriction prior to disclosure; (c) is rightfully obtained by the receiving party from a third party without restriction; or (d) is independently developed by the receiving party without use of the disclosing partys Confidential Information.

7.4 Duration

The confidentiality obligations set forth in this Section shall survive termination of these Terms and any service agreement for a period of five years, or indefinitely for trade secrets.

8. Limitation of Liability

8.1 Disclaimer of Warranties

BBB Life Limited provides services on an as-is and as-available basis. To the fullest extent permitted by applicable law, BBB Life Limited disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade. BBB Life Limited does not warrant that services will be uninterrupted, error-free, or completely secure, or that any defects will be corrected.

8.2 Limitation of Damages

To the maximum extent permitted by law, in no event shall BBB Life Limited be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, loss of data, loss of business, business interruption, or cost of substitute services, arising out of or in connection with these Terms or the services, whether based on contract, tort (including negligence), strict liability, or any other legal theory, even if BBB Life Limited has been advised of the possibility of such damages.

8.3 Cap on Liability

Notwithstanding anything to the contrary in these Terms, BBB Life Limiteds total aggregate liability to the client for any and all claims arising out of or in connection with these Terms or the services shall not exceed the total amount of fees actually paid by the client to BBB Life Limited during the twelve-month period immediately preceding the event giving rise to the claim.

8.4 Exceptions

The limitations set forth in this Section shall not apply to: (a) liability arising from death or personal injury caused by negligence; (b) liability arising from fraud or fraudulent misrepresentation; or (c) any liability that cannot be limited or excluded under applicable law.

9. Indemnification

The client agrees to defend, indemnify, and hold harmless BBB Life Limited, its officers, directors, employees, agents, subsidiaries, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys fees) arising out of or related to:

  • The clients use of the website or services in violation of these Terms.
  • The clients breach of any representations, warranties, or obligations under these Terms or any service agreement.
  • The clients violation of any applicable law, regulation, or third-party right, including intellectual property rights or privacy rights.
  • Any claim that the clients data, materials, or instructions provided to BBB Life Limited infringe upon or misappropriate the intellectual property rights of a third party.
  • Any negligent, reckless, or wrongful act or omission by the client or its employees, agents, or contractors.

BBB Life Limited reserves the right, at the clients expense, to assume the exclusive defense and control of any matter for which the client is required to indemnify us, and the client agrees to cooperate with our defense of such claims.

10. Termination

10.1 Termination by Client

The client may terminate any service agreement by providing at least 30 days written notice to BBB Life Limited. In the event of termination by the client, the client shall pay for all services rendered up to the effective date of termination, plus any non-cancellable expenses or commitments incurred by BBB Life Limited in performance of the services.

10.2 Termination by Company

BBB Life Limited may terminate or suspend services, in whole or in part, immediately upon written notice if:

  • The client fails to pay any amount due within 30 days of the due date.
  • The client materially breaches these Terms or any service agreement and fails to cure such breach within 15 days of receiving written notice.
  • The client becomes insolvent, files for bankruptcy, or ceases business operations.
  • Continued provision of services would violate applicable law or pose a security risk to BBB Life Limiteds systems or other clients.

10.3 Effect of Termination

Upon termination of services, the client shall immediately cease use of all deliverables, return or destroy all Confidential Information of BBB Life Limited in their possession, and pay all outstanding fees. Provisions of these Terms that by their nature should survive termination, including but not limited to intellectual property, confidentiality, limitation of liability, indemnification, and governing law, shall survive termination.

11. Dispute Resolution

11.1 Good Faith Negotiations

The parties agree to attempt in good faith to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the services through informal negotiations. Either party may initiate negotiations by sending a written notice describing the nature of the dispute and the desired resolution. The parties shall meet within 14 days of such notice, either in person or by video conference, to attempt resolution.

11.2 Mediation

If the dispute cannot be resolved through negotiations within 30 days, either party may refer the dispute to mediation administered by the Hong Kong International Arbitration Centre (HKIAC) in accordance with its Mediation Rules. The mediation shall take place in Hong Kong, and the language of the mediation shall be English.

11.3 Arbitration

If the dispute remains unresolved after mediation, it shall be referred to and finally resolved by arbitration administered by HKIAC under its Administered Arbitration Rules. The seat of arbitration shall be Hong Kong. The number of arbitrators shall be one. The arbitration proceedings shall be conducted in English.

11.4 Governing Law

These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to its conflict of law provisions.

12. Website Use and Acceptable Use Policy

12.1 Permitted Use

The website is provided for informational purposes and to facilitate engagement with BBB Life Limiteds services. You may access and use the website solely for lawful purposes and in accordance with these Terms.

12.2 Prohibited Activities

In connection with your use of the website, you agree not to:

  • Attempt to gain unauthorized access to any part of the website, the server on which the website is stored, or any server, computer, or database connected to the website.

In the course of delivering services, BBB Life Limited may recommend, integrate with, or utilize third-party products, services, platforms, or APIs. The following terms apply to such third-party services:

  • BBB Life Limited makes no warranties, express or implied, regarding the performance, reliability, security, or suitability of third-party services.
  • The client is responsible for reviewing and complying with the terms of service, privacy policies, and acceptable use policies of all third-party services used in connection with the engagement.
  • BBB Life Limited shall not be liable for any interruption, degradation, or failure of services caused by third-party products, platforms, or network conditions beyond BBB Life Limiteds reasonable control.
  • Any data transmitted to or stored with third-party providers is subject to the data protection and privacy practices of those providers.

14. Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms or any service agreement to the extent such failure or delay is caused by circumstances beyond the partys reasonable control, including but not limited to acts of God, natural disasters, war, civil unrest, terrorism, government actions, epidemics or pandemics, labor disputes, internet or telecommunications failures, or power outages. The affected party shall promptly notify the other party of the force majeure event and use reasonable efforts to resume performance as soon as practicable.

15. General Provisions

15.1 Entire Agreement

These Terms, together with any service agreements, statements of work, and other documents expressly incorporated by reference, constitute the entire agreement between the parties concerning the subject matter hereof and supersede all prior and contemporaneous agreements, representations, and understandings, whether written or oral.

15.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

15.3 Waiver

No waiver of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of BBB Life Limited to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

15.4 Assignment

The client may not assign or transfer any rights or obligations under these Terms without the prior written consent of BBB Life Limited. BBB Life Limited may assign or transfer its rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

15.5 Relationship of the Parties

Nothing in these Terms shall be construed to create a partnership, joint venture, employment, or agency relationship between the parties. BBB Life Limited is an independent contractor in all respects.

15.6 Notices

All notices required or permitted under these Terms shall be in writing and delivered by email (with confirmation of receipt) or by internationally recognized courier service to the addresses set forth in the applicable service agreement, or to such other address as a party may designate by notice.

15.7 Survival

Any provisions of these Terms that by their nature should survive termination shall survive, including Sections relating to intellectual property, confidentiality, limitation of liability, indemnification, dispute resolution, and governing law.
